    Adrian represented a buyer group consisting of four individuals who have a combined skill set to cover management, accounting and sales, which purchased a local distributor for approximately $4,000,000.00. As a direct part of the engagement, he negotiated the acquisition agreement, reviewed due diligence, organized the Buyer’s entity and acted as scrivener for all parties in a Shareholders Agreement.

    She developed a template Asset Purchase Agreement for a client who purchases multiple businesses of a similar nature to make the process more efficient.

    Ann Rieger

    Ann represented a multi-million dollar privately held business in relation to a shareholder proxy contest and related shareholder derivative demand. The disputes were settled without commencement of litigation.

    Thomas V. Rohan

    Tom has assisted various local banks and clients in the negotiation and documentation of over $70,000,000 in loans and has been involved in several significant acquisitions.

  • Tierney

    Joseph E. Tierney IV

    Joe represented a national lender with respect to a $30,000,000 financing of two office properties in Brookfield, Wisconsin, one of which was a 30+ member tenancy in common. The engagement included due diligence for all entities, preparation and negotiation of loan documents, and closing.

    He also represented the lender with respect to the $42,000,000 financing of condominium development in Nashville, TN. The financing involved multiple lenders, development agreements, and tiered entities with waterfall distributions and development issues.

    In 2008, Joe worked with the principals of Perfect Cross, LLC is establishing their business, formation of their operating agreement, and formation of their licensing, employment and consulting agreements. The engagement included drafting of the initial offering memorandum and additional corporate documents.
