We regularly handle a variety of transactions, from relatively straightforward, small transactions to complex deals involving hundreds of millions of dollars. No matter is too simple or too difficult. For example, we have participated in complex special purpose acquisition company (“SPAC”) transactions in which a SPAC was created, went public, raised additional funds in a private placement offering, obtained senior bank financing, merged with an acquisition target and raised additional funds in a contemporaneous private placement offering.

Likewise, no client is too big or too small. We regularly represent entrepreneurs, investors, management groups, buyer and seller entities, and ESOPs of all sizes and spanning all types of industries. Although we focus on family-owned and privately held companies, we also represent Fortune 500 companies. Regardless of size, we treat all of our clients and transactions with the attention and care that they expect and deserve.

As a direct part of the engagement, he negotiated the acquisition agreement, reviewed due diligence, organized the Buyer’s entity and acted as scrivener for all parties in a Shareholders Agreement.

    On behalf of a client, Adrian negotiated the acquisition of real estate from the LaCrosse County Business Development Authority to a closely held business that he has represented for over 30 years for the expansion of its business into the LaCrosse market. The real estate will be used as the site of a distribution warehouse. His negotiations involved not only the Purchase Agreement but also Railroad Spur Track Agreements, review of title work, construction contract preparation, credit facility reviews and a related party lease.
