Biography

Adrian assists clients who are starting businesses, acquiring businesses, planning successor leadership of their business and the divestment of the business. He also assists clients with contract negotiations and purchase/sale of real estate, and estate planning for the business owners and other clients. Adrian is also involved in credit facility documentation for commercial lenders.

Notable Representations

Acquisition, Shareholders Agreement Adrian represented a buyer group consisting of four individuals who have a combined skill set to cover management, accounting and sales, which purchased a local distributor for approximately $4,000,000.00. As a direct part of the engagement, he negotiated the acquisition agreement, reviewed due diligence, organized the Buyer’s entity and acted as scrivener for all parties in a Shareholders Agreement.

Real Estate Acquisition, Construction Contract and Related Party Lease On behalf of a client, Adrian negotiated the acquisition of real estate from the LaCrosse County Business Development Authority to a closely held business that he has represented for over 30 years for the expansion of its business into the LaCrosse market. The real estate will be used as the site of a distribution warehouse. His negotiations involved not only the Purchase Agreement but also Railroad Spur Track Agreements, review of title work, construction contract preparation, credit facility reviews and a related party lease.

Trusts and Estates, Wills, Power of Attorney, etc. Adrian completed an estate plan for a couple who owns a small business and has two children and did not have an estate plan commensurate with the size of the estate accumulated over the years. He also assisted them in the preparation of a Revocable Trust to accommodate the flow of funds to and for the benefit of the surviving spouse and ultimately for the children. In addition to the preparation of the Revocable Trust, he prepared Last Wills and Testaments, Declaration of Trust, Marital Property Agreement, Durable Powers of Attorney and Durable Powers of Attorney for Health Care.

Commercial Finance, Terms and Conditions, Real Estate, Security Documents In the area of commercial finance, Adrian prepared commercial finance documents for a local commercial lender for its client, who was acquiring a business in Michigan as well as additional real estate for a satellite location. Engagement involved the preparation and negotiation of terms and conditions of a credit facility for the benefit of the customer and required review of acquisition documents, real estate documents, real estate entities, title work, surveys and the preparation of security documents for purposes of liens on the real estate and appropriate lease assignments to provide commercial lender its required collateral.

Commercial Loan Adrian prepared an amendment to existing commercial loan documents modifying terms and conditions based upon offsite warehousing of cheese products that are purchased from a manufacturer and cured for ultimate resale back to manufacturer. Documents necessitated a review of all agreements by and between the borrower and manufacturer for purchase and storage of the cheese produced, lease agreements for purposes of segregation of the product and amendment to the credit facility for specific limitations of inventory and accounts receivable related to this particular manufacturer.

Commercial Lease Recently, Adrian worked to prepare a commercial lease for a restaurant facility in a new development for a real estate development client, together with negotiations on said lease with Tenant’s counsel.
